1. About These Terms

These Terms & Conditions ("Terms") govern your access to and use of the Build Blue platform and website ("Service"), operated by [BuildBlue Ltd] ("Build Blue," "we," "us," or "our"), a company registered in England and Wales (Company No. [XXXXXXXX]).

By creating an account or using our Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding contract between you and Build Blue. Please read them carefully.


2. Definitions

For clarity throughout these Terms:

"Account" means the account you create to access the Service

"Customer" means the business or individual who subscribes to the Service

"User" means any individual who accesses the Service under a Customer's Account

"Subscription" means the paid or free plan you select to access the Service

"Content" means any data, files, text, or information you upload or create within the Service

"Platform" means the Build Blue web application and any associated tools or APIs


3. Eligibility

To use Build Blue you must:

Be at least 18 years old

Be acting on behalf of a legitimate business or as a sole trader

Have the legal authority to enter into these Terms on behalf of your business

Be based in the UK or Ireland, or otherwise permitted to use the Service under applicable law

We reserve the right to refuse access to anyone who does not meet these requirements.


4. Your Account

4.1 Registration

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to keep this information up to date.

4.2 Account Security

You are responsible for:

Keeping your login credentials confidential

All activity that occurs under your account

Notifying us immediately at [email protected] if you suspect unauthorised access

We are not liable for any loss or damage arising from unauthorised use of your account where you have failed to keep your credentials secure.

4.3 Account Sharing

Your account is for your business use only. You may add team members as permitted under your Subscription plan. You must not share login credentials between multiple individuals or businesses.


5. Subscriptions and Payment

5.1 Plans

Build Blue is offered on a subscription basis. Details of available plans, features, and pricing are set out at [www.buildblue.uk].

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. By providing payment details, you authorise us to charge your chosen payment method on each renewal date.

5.3 Price Changes

We may change our subscription prices from time to time. We will give you at least 30 days' written notice before any price change takes effect. Continued use of the Service after that date constitutes acceptance of the new price.

5.4 Late Payment

If a payment fails, we'll notify you and retry collection. If payment remains outstanding after 7 days, your account will be paused. If the balance is not settled within 21 days, your account will be permanently cancelled.

5.5 Taxes

All prices are stated exclusive of VAT unless otherwise indicated. VAT will be applied at the applicable UK rate.


6. Free Trials and Demos

6.1 Free Trials

Where we offer a free trial, you will have access to the Service for the specified trial period without charge. At the end of the trial, your account will either convert to a paid subscription or be deactivated, depending on the option you select.

6.2 Demo Calls

A free demo does not constitute a subscription or create any obligation to purchase. Demos are provided for information purposes only.


7. Cancellation and Refunds

7.1 Cancellation by You

You may cancel your subscription at any time by completing our exit form and contacting us at [email protected]. Cancellation requires 30 days' notice and takes effect at the end of that 30-day period. You will retain access to the Service until that date. An exit form must be completed before cancellation can be processed.

7.2 Refunds

We do not offer refunds for partial billing periods. If you cancel mid-month or mid-year, you will not receive a refund for the unused portion of your subscription.

Exception: If you cancel within 14 days of your first paid subscription (your statutory cooling-off period under the Consumer Contracts Regulations 2013), you are entitled to a full refund provided you have not made substantial use of the Service during that period.

7.3 Cancellation by Us

We reserve the right to suspend or terminate your account if you:

Breach these Terms

Fail to pay outstanding amounts

Use the Service for unlawful purposes

Act in a way that damages Build Blue or other users

Where possible, we will give you reasonable notice before termination, except where immediate action is required to protect the security or integrity of the Service.


8. Acceptable Use

You agree to use Build Blue only for lawful purposes and in accordance with these Terms. You must not:

Use the Service to engage in any fraudulent, deceptive, or illegal activity

Upload content that is unlawful, harmful, defamatory, or infringes third-party rights

Attempt to gain unauthorised access to any part of the platform or its infrastructure

Reverse engineer, decompile, or copy any part of the Service

Use automated tools to scrape, crawl, or extract data from the platform

Resell, sublicense, or otherwise commercialise the Service without our written permission

Interfere with the operation of the platform or other users' access to it

Use the Service in any way that could damage our reputation or that of our users

We reserve the right to investigate and take appropriate action — including account suspension — for any violation of this section.


9. Your Content

9.1 Ownership

You retain full ownership of all Content you upload or create within the Service. We do not claim any rights over your data.

9.2 Licence to Us

By uploading Content, you grant us a limited, non-exclusive licence to store, process, and display that Content solely for the purpose of providing the Service to you.

9.3 Your Responsibility

You are solely responsible for ensuring that any Content you upload:

Does not infringe third-party intellectual property rights

Does not contain unlawful material

Complies with applicable data protection laws, including UK GDPR

9.4 Data on Termination

Following cancellation or termination of your account, we will retain your data for 30 days during which you may request an export. After this period, your data will be permanently deleted from our systems.


10. Our Intellectual Property

All intellectual property rights in the Build Blue platform — including the software, design, content, logos, and trademarks — belong to us or our licensors. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, reproduce, modify, or distribute any part of the platform without our prior written consent.


11. Availability and Support

11.1 Uptime

We aim to keep the Service available at all times, but do not guarantee uninterrupted access. We may carry out scheduled maintenance from time to time and will endeavour to give advance notice where possible.

11.2 Support

Customer support is available via [[email protected]] during business hours [Monday to Friday, 9am–5:30pm GMT]. We aim to respond to all support requests within one business day.

11.3 Changes to the Service

We may update, modify, or discontinue features of the Service at any time. We will notify you of any material changes that affect your use of the platform with reasonable notice.


12. Limitation of Liability

12.1 What We Are Responsible For

We are responsible for:

Direct losses caused by our breach of these Terms

Losses caused by our negligence

Any liability that cannot be excluded under applicable UK law

12.2 What We Are Not Responsible For

To the fullest extent permitted by law, we are not liable for:

Loss of profits, revenue, or business

Loss of data beyond what is recoverable from our backups

Indirect or consequential losses

Losses arising from third-party services integrated with the platform

Any loss caused by your failure to keep account credentials secure

12.3 Cap on Liability

Our total liability to you in any 12-month period is limited to the total subscription fees you paid to us during that same period.


13. Indemnification

You agree to indemnify and hold harmless Build Blue, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from:

Your use of the Service is in breach of these Terms

Your content infringes third-party rights

Your violation of any applicable law or regulation


14. Third-Party Integrations

The Service may integrate with third-party tools and services. These integrations are provided for convenience, and we are not responsible for the performance, availability, or data practices of any third-party provider. Your use of third-party services is governed by their own terms and policies.


15. Data Protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law, including UK GDPR.

Where you upload personal data about your customers or employees into the platform, you are the data controller, and we act as your data processor. We will process that data only on your instructions and in accordance with our Data Processing Agreement, available on request.


16. Confidentiality

Each party agrees to keep the other's confidential information secure and not to disclose it to third parties without consent. This obligation does not apply to information that:

Is or becomes publicly available through no fault of the receiving party

Was already known to the receiving party before disclosure

Is required to be disclosed by law or regulation


17. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.

Before taking formal action, we encourage you to contact us at [email protected] to resolve any dispute informally. We will make reasonable efforts to resolve issues quickly and fairly.


18. Changes to These Terms

We may update these Terms from time to time. When we do, we will:

Update the date at the top of this page

Notify you by email at least 14 days before material changes take effect

Continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.


19. General

Entire agreement — these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Build Blue regarding the Service

Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force

Waiver — failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in future

Assignment — you may not assign your rights under these Terms without our written consent. We may assign our rights to a successor business.
